Is an auditor's report always necessary?
For a contribution in kind (other than cash), an auditor's report is mandatory to evaluate the contribution. For a cash contribution, a special report from the management body is sufficient.
Does a capital increase require a notary?
Yes, a capital increase involves a change to the articles and therefore requires an authentic notarial deed.
What quorum is required to vote on the increase?
The extraordinary general meeting must represent at least 50% of the capital, and the decision must be approved by at least 75% of the votes present.
