Registered Office Transfer in Belgium: Procedure and Costs

Why Transfer Your Registered Office?

Transferring a registered office can be motivated by several reasons:

  • Physical relocation of your offices
  • Moving from a domiciliation to your own offices
  • Seeking a more prestigious address
  • Tax optimization (change of region)

Two Types of Transfer

Transfer Without Amending Articles

If the articles provide that the management body can decide on the transfer of the registered office (common since the CSA reform), a simple decision by the manager or board of directors is sufficient.

Advantage: faster and less expensive procedure.

Transfer With Amending Articles

If the articles specify the exact address of the registered office, you must:

1Convene an extraordinary general assembly
2Amend the articles
3Visit a notary (for SRLs and SAs)

Step-by-Step Procedure

1. Decision Making

  • Without article amendment: Minutes of the management body
  • With article amendment: Minutes of the extraordinary general assembly + notarial deed

2. Publication in the Belgian Official Gazette

The transfer must be published in the Annexes of the Belgian Official Gazette. Cost: approximately €160.

3. CBE Update

The business counter updates the address in the Crossroads Bank for Enterprises.

4. Notification to the VAT Office

If the new registered office falls under a different VAT control office jurisdiction, notification is required.

5. Document Update

All official documents must be updated:

  • Invoices and quotes
  • Website and email signatures
  • Current contracts
  • Name plate at the new office

Practical Tips

  • Check your articles first: if the exact address is specified, you'll need to go through the full procedure
  • Plan for delays: allow 2 to 4 weeks for Gazette publication
  • Inform your partners: clients, suppliers, bank, insurance
  • Check your lease: ensure you comply with the termination conditions of your current lease

Conclusion

Registered office transfer is a common and well-regulated procedure in Belgium. With good preparation, it can be completed quickly and at low cost.
